VENDOR PARTICIPATION AGREEMENT
Please read every term before signing.
1. Vendor Space Assignment
Vendor spaces are assigned by Kess_Maj Solutions and may vary by event. Vendors may not move, exchange,xpand, or relocate an assigned space without prior written approval.
2. Vendor Check-In and Setup
Vendors must follow the check-in time, setup deadline, unloading instructions, and vehicle-removal requirements listed in the Event Details or provided in writing. Late arrivals may be denied entry when setup would interfere with safety or event operations.
3. Vendor Conduct
Vendors must act professionally and respectfully. Offensive or abusive language, fighting, threats, harassment, illegal activity, counterfeit goods, and disruptive noise are prohibited. Kess_Maj Solutions may remove any vendor whose conduct is unsafe, disruptive, or inappropriate. No refund will be issued for removal based on misconduct.
4. Children and Guests
Vendors are solely responsible for supervising any children, guests, helpers, or employees who accompany them.
5. Electrical Service
Electricity is not guaranteed. Vendors requesting electricity must disclose their needs in advance and provide outdoor-rated cords, safe equipment, and any required adapters unless otherwise approved.
6. Tent and Display Safety
Tents, canopies, displays, signs, and equipment must be safely secured and comply with event-site rules. Stakes may be prohibited. Unsafe equipment may not be used.
7. Cleanup
Vendors must keep their area clean and remove all merchandise, trash, boxes, displays, equipment, and personal property before leaving.
8. Sales Tax, Licenses, and Permits
Each vendor is responsible for all applicable taxes, business licenses, permits, inspections, certifications, and legal requirements related to its products or services.
9. Payment and Refund Policy
Registration is not complete until all applicable payments and required documents are received. Fees are non refundable unless Kess_Maj Solutions cancels the event or states otherwise in writing
10. Cancellation or Event Changes
Kess_Maj Solutions may cancel, postpone, relocate, shorten, reschedule, or modify an event because of weather, emergencies, safety concerns, venue requirements, low participation, or circumstances beyond its control.
11. Right to Refuse or Revoke Participation
Kess_Maj Solutions may refuse, revoke, or condition acceptance of any application that does not align with the organization's mission, family-friendly standards, space limitations, safety requirements, or event needs.
12. Security
Kess_Maj Solutions does not provide security for individual booths, merchandise, equipment, vehicles, cash, or personal belongings. Vendors are responsible for safeguarding their property.
13. Lost, Stolen, or Damaged Property
Kess_Maj Solutions is not responsible for lost, stolen, damaged, or destroyed merchandise, equipment, supplies, cash, vehicles, trailers, tents, displays, or other vendor property.
14. Alcohol, Tobacco, Vaping, and Controlled Substances
The sale, distribution, possession, or use of alcohol, tobacco products, vaping products, marijuana, illegal drugs, or controlled substances is prohibited unless specifically authorized in writing and permitted by law.
15. Firearms and Weapons
No firearms or weapons may be displayed, sold, distributed, or carried in violation of applicable law, venue rules, or event policies. This restriction does not apply to certified law-enforcement officers acting in their official capacity.
16. Liability, Indemnification, and Hold Harmless
The vendor accepts responsibility for its products, services, conduct, employees, helpers, equipment, setup, and participation. To the fullest extent permitted by law, the vendor agrees to indemnify, defend, and hold harmless Kess_Maj Solutions, its officers, directors, volunteers, staff, sponsors, property owners, and affiliated organizations from claims, damages, losses, liabilities, costs, or expenses arising from the vendor's participation, except to the extent caused by the negligence or willful misconduct of Kess_Maj Solutions or the property owner.
