These Terms & Conditions (“Terms”) govern prepaid Pinnacle Access Hours provided by Pinnacle Education & Leadership Partners, LLC (“Pinnacle”) to the purchasing organization (“Client”). The accepted electronic enrollment record or signed Package Order & Acceptance Form (“Order Record”) identifies Client, its package, price, authorized contact, and applicable dates. The Order Record and these Terms together constitute the agreement (“Agreement”). In the event of a conflict, a mutually signed written amendment controls.
1. Services and scope
Pinnacle provides remote Head Start leadership consulting, coaching, facilitation, analysis, monitoring preparation, program document and policy review, and related advisory support as mutually agreed for each request. Services are advisory and do not replace Client management, grant oversight, or professional legal, accounting, or audit services. Major projects, on-site services, travel, and substantial standalone deliverables require a separate written scope and agreement on fees and expenses. A complimentary consultation of up to 60 minutes, when offered, is separate from package hours.
2. Packages, bonus hours, and term
The Order receipt specifies the package, fee, purchased hours, Bonus Hours, activation date, and expiration date. Purchased hours are used before Bonus Hours. Bonus Hours are provided at no additional charge, tracked separately, and have no cash or refund value. Pinnacle can provide records of contributed services upon request. Client alone determines whether any contribution qualifies as Head Start non-federal share, including applicable valuation, documentation, and grant compliance; Pinnacle makes no eligibility guarantee. Both purchased and Bonus unused hours expire at the end of the applicable six- or twelve-month term unless extended in writing or otherwise required by law. Packages do not renew automatically.
3. Payment and activation
Packages are prepaid. Payment is due through Pinnacle’s approved secure payment process before activation unless Pinnacle approves an alternative payment arrangement in writing (including an invoice or purchase order process). Services become available after Client accepts the Agreement and payment is confirmed or the written exception’s activation conditions are satisfied. Client is responsible for internal purchasing approvals. An invoice or purchase order does not change these Terms unless expressly agreed in writing.
4. Scheduling, cancellation, and availability
After activation, Pinnacle provides a private scheduling link. Standard appointment lengths are 30, 60, or 90 minutes; longer sessions may be arranged. Pinnacle strives to offer an appointment within one business day when possible, subject to availability; same-day requests may be accommodated. This is a service goal, not a guarantee of immediate, emergency, or 24/7 availability. Business days are Monday through Friday, excluding U.S. federal holidays; scheduling references Eastern Time. Client may cancel or reschedule with at least 24 hours’ notice without charge. For cancellations with less than 24 hours’ notice or no-shows, Pinnacle may deduct 30 minutes from the available balance, with discretion to waive the deduction.
5. Tracking time and work approvals
Scheduled consulting/coaching sessions are charged with a 30-minute minimum. Substantive work outside meetings—including preparation, document and policy review, research, analysis, written recommendations, and substantive email follow-up—is tracked in 15-minute increments. Routine scheduling, invoicing, and balance reporting are not charged. Before substantial preparation or document review, Pinnacle will communicate anticipated hours and obtain Client approval. Pinnacle maintains a usage ledger and provides balance information to Client’s primary contact. Work that exceeds the available hours requires a further purchase or separate written authorization; Pinnacle is not obligated to perform unpaid work.
6. Client contacts and responsibilities
Client designates a primary organizational contact and may authorize additional program staff. All authorized users draw from one shared organizational balance. The primary contact may receive usage and balance updates and is responsible for keeping the list of authorized users current. Hours are not transferable to a different organization without Pinnacle’s prior written consent. Client will provide accurate information, appropriate internal approvals, timely responses, and necessary access. Client retains all program decisions and operational responsibility.
7. Confidentiality and information handling
Each party will use reasonable care to protect the other’s nonpublic information and use or disclose it only as reasonably necessary for the services, with consent, or as legally required. Pinnacle will use reasonable administrative and technical safeguards. Client should remove identifying information about children, families, and employees whenever feasible and use a mutually agreed secure channel for sensitive documents rather than ordinary email. The parties will agree on any heightened privacy or data-security obligations before exchanging such information. Pinnacle will generally delete Client program documents within 90 days after the engagement ends, unless otherwise agreed or legally required to retain them. Agreements, invoices, and hours records will be retained as needed under applicable legal and accounting requirements. This section does not override mandatory records-preservation obligations.
8. Professional responsibilities and outcomes
Pinnacle exercises independent professional judgment and provides advice, guidance, and recommendations, not legal, accounting, or audit opinions. Client remains responsible for grant requirements, program compliance, personnel decisions, implementation, and oversight. Pinnacle does not guarantee specific monitoring, compliance, funding, personnel, or operational outcomes.
9. Expiration, refunds, and termination
Following activation, package fees are generally nonrefundable if Client cancels or discontinues use, except as required by law or agreed by Pinnacle in writing. Unused hours expire at the stated term unless extended in writing or required by law. Either party may terminate for material breach following written notice and a reasonable opportunity to cure when appropriate; Pinnacle may suspend work where continued performance would be unlawful or unsafe. If Pinnacle terminates without Client breach or cannot reasonably deliver the remaining services, Pinnacle will offer an appropriate extension or a prorated refund of unused purchased hours, calculated at the package price divided by purchased hours. Contributed hours have no refund value. Termination does not eliminate accrued payment or confidentiality obligations.
10. General legal terms
Independent contractor. Pinnacle is an independent contractor and not Client’s employee, agent, or fiduciary; neither party may bind the other.
Intellectual property. Pinnacle retains ownership of its pre-existing materials, tools, templates, methodologies, and know-how. Once applicable fees are paid, Client may use agreed Client-specific deliverables internally for its program operations, but may not resell or publicly redistribute Pinnacle proprietary materials without written permission.
Limitation of liability. To the maximum extent permitted by applicable law, Pinnacle’s aggregate liability arising from the applicable package is limited to fees actually paid for that package, except to the extent a limitation is prohibited by law or the parties agree otherwise in writing. This provision is subject to attorney review for appropriate exclusions and enforceability.
Disputes and governing law. The parties will first seek to resolve disputes through good-faith discussion. Virginia law governs, without regard to conflict-of-law principles, except where mandatory law applies or the parties mutually agree otherwise in writing. Tribal governments and organizations may require separately negotiated provisions concerning sovereign immunity, governing law, forum, and dispute resolution; nothing in these Terms is intended to waive sovereign immunity.
Changes, entire agreement, and electronic acceptance. Amendments must be mutually agreed in writing. The Order receipt, these Terms, and any signed addenda constitute the parties’ agreement regarding Access Hours. Electronic acceptance and signature through Pinnacle’s enrollment process are intended to be effective to the extent permitted by applicable law. Each party should retain a copy of the accepted Terms and Order receipt.
