This Community Programming Partner Agreement (“Agreement”) is between Black August in the Park (“BAP”) and the organization, business, collective, or individual identified below (“Programming Partner”), collectively referred to as “the Parties.”This Memorandum of Understanding (MOU) is between Black August in the Park (“BAP”) and (“Partner Organization or Person”), collectively referred to as “the
Parties.”
1. Purpose
As part of Black August in the Park, BAP is activating a temporary community space at 109 W. Parrish Street, Durham, North Carolina.
The goal is to create a free third space for creativity, connection, cultural exchange, and community programming rooted in the spirit of Black August.
BAP is inviting artists, creatives, organizations, businesses, educators, organizers, and community members to activate the space through experiences that encourage people to gather, learn, create, celebrate, and build relationships.
This Agreement outlines the shared expectations between BAP and the Programming Partner for use of the space.
2. Responsibilities of Black August in the Park:
- Provide the Programming Partner access to the 109 W. Parrish Street temporary community space during the mutually agreed-upon date and time.
- Provide use of the space at no rental cost to the Programming Partner.
Coordinate with the Programming Partner regarding access, scheduling, setup, breakdown, and available resources within the space.
- Include approved programming within BAP’s overall programming calendar and promotional efforts when appropriate.
- Provide a BAP point of contact for questions and coordination leading up to the activation.
3. Responsibilities of Partner Organization:
- Deliver the event or activation described in this Agreement at the mutually agreed-upon date and time.
- Ensure that the activation remains aligned with the purpose, values, and community-centered spirit of Black August in the Park.
- Communicate all production, equipment, furniture, technical, staffing, or space needs to BAP in advance. Any resources not specifically confirmed by BAP are the responsibility of the Programming Partner.
- Arrive with sufficient time to set up and have the activation ready before its scheduled start time.
- Leave the space in the same or better condition than it was received, including removing materials, equipment, decorations, and trash associated with the activation.
- Provide BAP with requested promotional information, including event descriptions, logos, images, collaborator information, and other materials by agreed-upon deadlines.
- Notify BAP as soon as possible if the Programming Partner is unable to execute the activation as planned.
- Be responsible for the conduct of its team, collaborators, performers, vendors, and invited participants.
4. Use of space and conduct
The Programming Partner understands that 109 W. Parrish Street is a shared temporary community space.
Programming Partners will conduct activities in a manner that respects the space, neighboring businesses, other Programming Partners, attendees, and the mission and values of BAP.
Any significant changes to the agreed-upon activation, including additional vendors, alcohol, food service, amplified sound, ticketing, merchandise sales, or activities requiring special permits or insurance, must be discussed with and approved by BAP in advance.
Unless otherwise agreed to in writing, participation in the community space does not create a financial obligation between BAP and the Programming Partner.
5. Promotion and communication
Programming Partners may promote their participation in the space and their association with the specific BAP community programming initiative.
Use of BAP logos, official artwork, or other brand assets must follow materials and guidance provided or approved by BAP.
The Programming Partner agrees to provide accurate event information and communicate scheduling or programming changes to BAP as quickly as possible.
6. Liability
Each Party is responsible for its own actions, personnel, equipment, and activities.
The Programming Partner is responsible for damages to the space or property resulting from its negligence or the negligence of individuals operating on its behalf.
Programming Partners are responsible for obtaining any licenses, permissions, insurance, or permits specifically required for activities they independently introduce into the space.
7. Cancellation
Either Party may cancel the activation by providing written notice as soon as reasonably possible.
Because BAP is providing the space at no cost and coordinating a larger calendar of community programming, Programming Partners are asked to provide at least four (4) days’ notice whenever possible so the space can be made available to another community partner.
