INDEMNIFICATION AGREEMENT

The Vendor agrees to indemnify, defend, and hold harmless the Parker Senior Center, its officers, directors, employees, volunteers, and agents from and against any and all claims, demands, actions, causes of action, losses, damages, liabilities, costs, and expenses (including, without limitation, reasonable attorneys' fees and expenses) arising out of or in any way connected with:

(a) The Vendor's participation in the Whimsical Wonder Market, including but not limited to the setup, operation, and breakdown of the Vendor's booth or display.

(b) Any injury to persons (including, but not limited to, attendees, volunteers, and other vendors) or damage to property caused by the Vendor, the Vendor's employees, agents, contractors, or representatives.

(c) The sale, offer for sale, or distribution of any goods or services by the Vendor, including but not limited to claims related to product liability, safety, or quality.

(d) The Vendor's failure to comply with any applicable laws, ordinances, rules, regulations, or event guidelines to include providing tent weights.
