This Vendor Agreement (the "Contract") is made by and between:
Norfolk Area Pride (hereinafter referred to as "Organizer") of 710 S. 13th Street Suite 900 PMB 213, Norfolk, Nebraska 68701
AND
The Vendor named above (hereinafter referred to as "Vendor")
WHEREAS, the Organizer is hosting the "Norfolk Area Pride Fest 2026" (the "Festival") on Saturday, September 12, 2026 at the Elkhorn Valley Museum and Verges Park; and
WHEREAS, the Vendor desires to participate in the Festival and offer products, services, information, or resources to attendees;
NOW, THEREFORE, the parties agree as follows:
1. Festival Details
- Festival Name: Norfolk Area Pride Fest 2026
- Festival Date: Saturday, September 12, 2026
- Festival Hours: 12 PM to 4 PM
- Location: Elkhorn Valley Museum | 515 Queen City Blvd, Norfolk, NE 68701
- Vendor Space Location: Assigned prior to arrival
- Vendor Space Size: Approximately 10'x10'
2. Vendor Products/Services
The Vendor is authorized to sell and/or offer the specific products, services, information, or resources listed above at the Festival. The Vendor agrees not to sell or offer any products, services, information, or resources not listed herein without prior written consent from the Organizer.
- Adult Oriented Materials: Due to the family-friendly nature of the festival, all adult oriented materials such as videos, adult toys, pictures with nudity, porn sites, etc., will not be allowed without prior written authorization.
- Alcohol: The sale or giving away of alcoholic beverages is strictly prohibited without prior written authorization and compliance with all municipal, county, state, and federal law.
3. Fees and Payment
- Retail Booth Fee: Vendors selling goods or services at the Festival agree to pay a non-refundable booth fee of $50.
- Non-Retail Booth Fee: Vendors offering information or resources at the Festival agree to pay a non-refundable booth fee of $25.
- Payment Schedule: The full booth fee must be paid at the time of application.
4. Setup and Teardown
- Setup:
- Date: Saturday, September 12, 2026
- Arrival Time: 9:30 to 10:30 AM*
*You will be assigned a specific arrival time between 9:30 and 10:30 AM by email before the festival.
- All vendor displays and equipment must be fully set up by 11:30 AM on Saturday, September 12, 2026.
- Teardown:
- Date: Saturday, September 12, 2026
- Departure Time: after 4 PM*
*Tear down is not permitted until the close of the event.
- All displays and equipment must be removed, and the space left clean, by 6 PM on Saturday, September 12, 2026.
- Any property left behind after the teardown period may be disposed of by the Organizer at the Vendor's expense.
5. Organizer’s Discretion
The Organizer reserves the right, in its sole and absolute discretion, to deny any vendor application or to revoke the participation of any Vendor at any time for any reason.
6. Vendor Responsibilities and Conduct
- Compliance: The Vendor shall comply with all applicable federal, state, and local laws, ordinances, and regulations, including but not limited to health codes, fire codes, licensing requirements, and sales tax regulations. The Vendor is solely responsible for obtaining any necessary permits or licenses.
- Staffing: The Vendor shall provide adequate staff for their booth during all Festival hours.
- Appearance: The Vendor's booth must be kept clean, orderly, and attractive at all times. Displays should not obstruct walkways or neighboring booths.
- Equipment: The Vendor is responsible for providing all necessary equipment for their booth, including tables, chairs, tents, and display materials. All equipment must be safe and in good working order. No equipment will be provided by the Organizer unless agreed to in advance in writing.
- Power: No power will be provided by the Organizer unless agreed to in advance in writing.
- Waste Management: The Vendor is responsible for the disposal of all waste generated by their operation into designated receptacles. No waste shall be left in or around the vendor space after Festival hours.
- Security: The Organizer will provide general Festival security, but the Vendor is solely responsible for the security of their own merchandise, equipment, and cash. The Organizer is not responsible for any loss, theft, or damage to Vendor's property.
- No Subleasing: The Vendor shall not sublease, assign, or share their assigned space without the prior written consent of the Organizer.
- Prohibited Items/Activities: The sale or display of illegal items, firearms, illicit substances, or any material deemed offensive or inappropriate by the Organizer is strictly prohibited. Engaging in discriminatory behavior, excessive noise, or any activity that disrupts the Festival or its attendees is also prohibited.
- Respectful Conduct: The Vendor and their staff agree to treat all Festival attendees, fellow vendors, Organizer staff, and volunteers with respect, dignity, and courtesy, regardless of their background, race, ethnicity, gender, sexual orientation, gender identity, religion, age, disability, or any other characteristic. Discriminatory or harassing behavior will not be tolerated.
7. Insurance and Indemnification
- Insurance: The Vendor is solely responsible to obtain and maintain, at their own expense, insurance coverage on property brought into the Venue. Vendor assumes full responsibility for items left at the facility. Norfolk Area Pride accepts no liability for lost, stolen, or damaged property and is not required to carry additional insurance to cover Vendor's property.
- Indemnification: The Vendor agrees to indemnify, defend, and hold harmless the Organizer, its officers, directors, and volunteers from and against any and all claims, demands, liabilities, damages, losses, costs, and expenses (including reasonable attorney's fees) arising out of or in connection with the Vendor's participation in the Festival, including but not limited to:
- Any injury to persons (including death) or damage to property caused by the Vendor or the Vendor's agents, employees, or contractors.
- Any breach of this Contract by the Vendor.
- Any claim arising from the Vendor's products or services.
- Any violation of applicable laws or regulations by the Vendor.
8. Cancellation and Force Majeure
- Cancellation by Vendor: All booth fees are non-refundable. If the Vendor cancels their participation, they forfeit the entire booth fee.
- Cancellation by Organizer: The Organizer reserves the right to cancel the Festival due to unforeseen circumstances, including but not limited to acts of God, war, terrorism, civil unrest, epidemic, government order, or other events beyond the Organizer's control (Force Majeure). In such an event, the Organizer will make reasonable efforts to notify the Vendor promptly. If the Festival is canceled due to Force Majeure, the Organizer's liability shall be limited to a refund of the booth fee paid by the Vendor, less any non-recoverable expenses incurred by the Organizer.
- Weather: The Festival is an outdoor event and will proceed rain or shine unless conditions are deemed unsafe by the Organizer. The Organizer is not responsible for any adverse weather conditions impacting Vendor sales or operations, and no refunds will be issued due to weather.
9. Marketing and Promotion
The Organizer may use the Vendor's name, logo, and product descriptions in Festival promotional materials (e.g., website, social media, print advertisements) without additional compensation to the Vendor. The Vendor may use the Festival name and logo solely for the purpose of promoting their participation in the Festival, provided that all such uses are approved in writing by the Organizer in advance.
10. Governing Law and Dispute Resolution
This Contract shall be governed by and construed in accordance with the laws of the State of Nebraska. Any dispute arising out of or relating to this Contract shall be resolved through good faith negotiation between the parties. If negotiation fails, the parties agree to mediation in Norfolk, NE.
11. Entire Agreement
This Contract constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements and understandings, whether written or oral.
12. Amendments
No amendment, modification, or waiver of any provision of this Contract shall be effective unless in writing and acknowledged by both parties.
13. Severability
If any provision of this Contract is held to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.
14. Signatures
This Agreement shall be signed by the Vendor and shall be effective as of the date of submission.
