ROOTED Vendor Agreement Event: ROOTED – Juneteenth Cultural Experience & Runway Showcase Date: June 18, 2026 Location: La Isla Bonita 14000 croissant Dr Producer: Melanated by Piinkii Promiis LLC 1. Vendor Participation The Producer agrees to provide the Vendor with space to display and sell products during the ROOTED event. Vendor spaces are part of a curated marketplace experience designed to support creative entrepreneurs and cultural brands. Vendor agrees to operate in alignment with the professional standards of the event. 2. Vendor Space Options Vendor agrees to the selected space: Single Vendor Table — $175 one table 2 chairs please bring a black cloth for table and any extra supplies to create your popup/ Activation booth Double Vendor Space — $275 -same as Single x2 Please be available for Vendor Orientation for venue details & floorplan placement Vendors may choose spots based on the order in which you were accepted unless otherwise specified Vendor fees must be paid in full to secure space. Spaces are assigned by the Producer based on layout planning and brand alignment. 3. Vendor Setup Requirements Vendors are responsible for: • Their booth setup and display materials • Table coverings and presentation styling • Inventory and payment processing systems • Staff required to operate their booth ROOTED encourages clean, creative, and elevated booth presentations. 4. Setup & Breakdown Schedule Setup Time Day of event (12pm) Vendors must be fully set up before guest entry begins.(2pm) Breakdown may begin only after the event concludes unless otherwise instructed. 5. Vendor Conduct Vendors agree to: • Maintain a respectful and professional presence • Keep their space clean and organized • Follow venue safety guidelines • Comply with all event staff instructions The Producer reserves the right to remove vendors engaging in disruptive or unsafe behavior. 6. Product Restrictions The following items are prohibited unless approved: Illegal goods Weapons or weapon replicas Counterfeit products Food vendors must comply with local health regulations. 7. Payment & Refund Policy Vendor payments are non-refundable once space has been reserved. If the event is canceled due to circumstances outside the Producer’s control, vendor participation may be transferred to a future ROOTED event or Refunded. 8. Liability Vendors are responsible for their: • Products • Equipment • Transactions ROOTED and Melanated by Piinkii Promiis LLC are not responsible for lost, stolen, or damaged vendor items. Vendor space is not confirmed until the following three items are completed: • Vendor application has been reviewed and approved by ROOTED • This Vendor Participation Agreement is signed • Required deposit payment has been received ROOTED reserves the right to deny participation to any applicant that does not align with event standards or cultural mission. Vendor booth placement will be determined by ROOTED based on event layout, vendor category, and event flow. Payment Terms Vendor agrees to the following payment structure for participation in the ROOTED Marketplace. Remaining Balance Due: Upon signing agreement Vendor Responsibilities Vendor agrees to provide: • All booth materials and display setup we highly encourage ACTIVATION booths (interactive/sampling/activities) •black Table coverings, signage, and brand displays • Inventory and payment processing equipment • Staffing for the vendor booth during event hours Vendor booths must maintain a clean, professional, and visually appealing display that aligns with the cultural and aesthetic standards of the ROOTED marketplace. Setup and breakdown times will be communicated prior to the event. Vendors are expected to remain open and operational for the full duration of the marketplace experience. Compliance & Permits Vendor is solely responsible for complying with all applicable laws and regulations related to sales and business operations. Vendor is responsible for: • Reporting and paying applicable sales taxes • Obtaining City of Chicago IBT (Illinois Business Tax) registration if required • Maintaining any necessary permits or business licenses • Maintaining any required business or liability insurance ROOTED and its organizers assume no responsibility for vendor tax reporting, licensing, or compliance obligations. Brand Alignment Clause ROOTED is a curated cultural experience celebrating Black creativity, craftsmanship, and community elevation. ROOTED reserves the right to remove any vendor whose participation negatively impacts the integrity of the event. This includes vendors who: • Sell products misaligned with event standards • Misrepresent the quality or authenticity of their products • Engage in disruptive, unsafe, or unprofessional behavior • Fail to maintain appropriate booth conduct If a vendor is removed for these reasons, no refunds will be issued. Marketing & Media Usage Vendor grants ROOTED permission to: • Photograph and film vendor booths • Capture content of vendor products and interactions • Use images and video footage for future event promotion and marketing • Tag the vendor brand in social media content related to the event Vendor may also receive promotional exposure through ROOTED’s marketing channels. Force Majeure If the event must be canceled, postponed, or rescheduled due to circumstances beyond the control of the organizers, including but not limited to: • Severe weather • Public safety emergencies • Natural disasters Vendor deposits may be transferred to a future ROOTED event date. Refunds are not guaranteed under force majeure circumstances. 10. Agreement By signing below, Vendor acknowledges they have read and agree to the terms of participation.
