The Wood Cup Vendor Terms and Conditions
- Submission of an application does not guarantee acceptance into The Wood Cup.
- Vendors must apply under the correct vendor category. Misrepresentation of vendor type, products, or services may result in denial or removal from the event.
- Retail vendors may sell approved merchandise or products on-site.
- Commercial vendors are for-profit businesses or brands participating for promotional, marketing, or community engagement purposes and may not sell products on-site unless expressly approved by the event team.
- Nonprofit / City Partner vendors and City of Inglewood departments may not sell products or exchange money on-site unless expressly authorized.
Retail vendors must obtain and pay for all required permits and licenses to operate, including a valid City of Inglewood Business Tax Certificate, unless waived due to an existing current certificate. Proof is required.
- Retail vendors must also provide a valid California Seller’s Permit / Resale Certificate, where applicable.
- Food booth vendors must comply with all applicable Los Angeles County Department of Public Health requirements and all event rules. Food booth vendors must provide their own canopy, and all canopies must include a service screen and meet Health Department requirements. Sinks and water will be provided by the festival.
- Food truck vendors must provide a valid Los Angeles County Department of Public Health Food Truck Permit and proof of insurance naming the City of Inglewood as the Certificate Holder.
- Unless otherwise stated in the selected booth package, tables, chairs, canopies, sidewalls, generators, extension cords, and other equipment are not included.
- Open flame appliances are not permitted inside or under any tent or canopy unless specifically approved and compliant with all applicable fire, health, and safety regulations.
- No drug-, tobacco-, or alcohol-related items, messaging, paraphernalia, or promotional materials may be sold, displayed, or distributed. All products, signage, and displays must be appropriate for a family-friendly public event.
- Vendors must operate only within their assigned space and must not extend into walkways, fire lanes, neighboring spaces, or public access areas.
- Space assignments will be made by the event team. Vendors may not move, exchange, or relocate spaces without prior approval. All placement decisions are final.
- Vendors must comply with all event load-in, setup, operating, breakdown, and load-out instructions, including all entry and exit procedures.
- Vendors must remain open and operational during all required event hours.
- Event hours are 2:00 p.m. to 10:00 p.m. Vendors may not break down, vacate, or leave early without express approval from event management.
- Food trucks are required to remain on-site for the full duration of the event.
- Only one business, organization, or exhibitor is permitted per booth or assigned space unless otherwise approved in writing. Booth sharing is not allowed.
- No pets or animals are permitted within vendor areas, except lawful service animals.
- Alcoholic beverages are prohibited in vendor booths and throughout the festival area except as expressly authorized by event management.
- Vendors are solely responsible for their own booth setup, equipment, products, displays, staff, cash handling, permits, and operations.
- Neither the City of Inglewood, 360 Total Solutions, LLC d/b/a Produced By 360, nor any of their officers, officials, directors, members, managers, employees, contractors, agents, representatives, or volunteers shall be responsible for any lost, stolen, or damaged property belonging to any vendor, exhibitor, participant, employee, guest, or invitee.
- Payment of fees does not constitute acceptance. If an application is not approved, any eligible refund will be issued in accordance with the event refund policy.

Refund requests must be submitted in writing by the applicable deadline for the selected event date. For the June 12, 2026 event date, refund requests must be submitted no later than May 20, 2026. For the July 10, 2026 event date, refund requests must be submitted no later than June 15, 2026. Approved refunds will be issued less a $50 cancellation fee. No refunds will be issued after the applicable deadline.
- The event team reserves the right to reject, revoke, or cancel any application or participation at any time if a vendor fails to comply with event rules, provides false or misleading information, poses a safety concern, or presents products, conduct, or materials deemed inappropriate for the event.
Acknowledgment
By submitting this application, I acknowledge and agree that:
- Submission of this application does not guarantee acceptance into The Wood Cup.
- I have read and agree to comply with all event rules, requirements, and operating procedures.
- I understand that I am responsible for obtaining and maintaining all permits, licenses, certificates, and approvals required for my participation.
- I understand that payment of fees does not by itself constitute approval or acceptance.
- I understand that approved vendors must remain open and operational during event hours, which are 2:00 p.m. to 6:00 p.m., and must comply with all setup and breakdown procedures.
- I understand that neither the City of Inglewood nor 360 Total Solutions, LLC d/b/a Produced By 360 assumes responsibility for injury, loss, theft, or damage arising before, during, or after the event, except to the extent caused by that party’s sole negligence or willful misconduct.
- I understand that incomplete applications may not be processed until all required information, documents, and fees are submitted.
Indemnity and Hold Harmless
Applicant/Vendor/Participant (“Participant”) shall defend, indemnify, and hold harmless the City of Inglewood, 360 Total Solutions, LLC d/b/a Produced By 360, and each of their respective elected officials, officers, directors, members, managers, employees, agents, contractors, representatives, volunteers, successors, and assigns (collectively, the “Indemnified Parties”) from and against any and all claims, demands, actions, damages, liabilities, losses, fines, penalties, judgments, costs, and expenses, including reasonable attorneys’ fees and defense costs, arising out of or related to Participant’s participation in The Wood Cup, including but not limited to Participant’s operations, booth, vehicle, equipment, products, services, employees, agents, contractors, invitees, or customers, except to the extent caused by the sole negligence or willful misconduct of an Indemnified Party.
Participant further agrees to defend, indemnify, and hold harmless the Indemnified Parties from and against any claims for bodily injury, death, property damage, economic loss, or violation of law arising from or related to any actual or alleged act, error, omission, negligence, or misconduct of Participant or Participant’s officers, employees, agents, contractors, volunteers, or representatives.
Participant acknowledges and agrees that this indemnity obligation includes the duty to defend the Indemnified Parties immediately upon tender of any claim or action, using counsel reasonably acceptable to the applicable Indemnified Party.
