LIABILITY WAIVER, TALENT RELEASE* This field is required.SOUL DE SOUL PARTICIPANT WAIVER, ASSUMPTION OF RISK, MEDICAL AUTHORIZATION & MEDIA RELEASE IMPORTANT: PLEASE READ CAREFULLY. THIS AGREEMENT AFFECTS IMPORTANT LEGAL RIGHTS. This Agreement applies to all conventions, classes, workshops, performances, showcases, and related activities organized by SOUL DE SOUL (“Company”). “Participant” refers to the individual attending. Participants under 18 must have this Agreement signed by a parent or legal guardian (“Guardian”). 1. ACKNOWLEDGMENT AND ASSUMPTION OF RISK I understand that participation in dance activities involves inherent risks, including physical exertion, fatigue, dehydration, falls, collisions, injuries, illness, emotional discomfort, and risks associated with choreography, partnering, lifts, stages, flooring, equipment, and event facilities. I voluntarily assume all inherent and reasonably foreseeable risks of participation, including serious injury, permanent disability, or death, even when reasonable precautions are taken. I acknowledge that the Participant must participate within their physical capabilities, communicate relevant limitations, and discontinue activity when necessary for safety. 2. RELEASE AND WAIVER OF LIABILITY To the fullest extent permitted by law, I release SOUL DE SOUL, its legal operating entity, owners, directors, officers, employees, faculty, instructors, contractors, volunteers, agents, representatives, successors, assigns, and authorized third-party vendors and service providers, including production companies, audiovisual providers, photographers, videographers, media companies, equipment providers, and their respective personnel (collectively, “Released Parties”), from claims, damages, losses, or liabilities arising from participation in SOUL DE SOUL activities. This release includes claims involving personal injury, illness, property damage, death, and ordinary negligence where legally permitted, and applies to authorized event-related services before, during, and after the event. This Agreement does not waive claims that cannot legally be released, including gross negligence, reckless misconduct, or intentional wrongdoing where prohibited by law. Released Parties remain subject to applicable legal duties. 3. PARENTAL OR GUARDIAN CONSENT AND SUPERVISION SOUL DE SOUL provides educational dance experiences, not childcare or continuous individual supervision. All Participants under 18 must attend with a designated responsible adult age 21 or older, who may be a parent, Guardian, studio owner, teacher, or authorized chaperone. This adult must remain on-site throughout the minor's attendance and be reasonably available to supervise during classes, transitions, breaks, meals, and other activities. SOUL DE SOUL faculty and staff do not replace this responsibility. A parent or legal guardian must authorize the minor's participation and sign this Agreement, even when another adult serves as the designated chaperone. 4. MEDICAL AUTHORIZATION AND EMERGENCY CARE I certify that the Participant is physically capable of participating, subject to any communicated limitations or accommodations. I authorize SOUL DE SOUL representatives to contact emergency medical services and, when reasonably necessary and a parent or Guardian cannot promptly be reached, seek emergency medical evaluation or treatment for the Participant. I understand that licensed medical personnel may not be available at every event, medical decisions are made by qualified professionals, and SOUL DE SOUL cannot guarantee medical outcomes. I accept responsibility for related medical expenses except where another party is legally responsible. I agree to provide accurate emergency contact information and communicate relevant medical considerations. 5. PERSONAL PROPERTY Participants are responsible for their belongings. SOUL DE SOUL and its authorized vendors are not liable for lost, stolen, or damaged property except where required by applicable law. 6. PHOTOGRAPHY, VIDEO, AUDIO AND MEDIA RELEASE I understand that SOUL DE SOUL events may be photographed, filmed, recorded, livestreamed, or otherwise documented. I authorize SOUL DE SOUL and its approved photographers, videographers, audiovisual and production companies, media providers, contractors, vendors, service providers, and their respective personnel (“Authorized Media Parties”) to capture, record, reproduce, edit, publish, distribute, display, broadcast, livestream, license, and otherwise use the Participant's name, image, likeness, voice, and recorded participation in connection with SOUL DE SOUL events and related business activities. Authorized uses include: Event photography, videography, audio recordings, performances, classes, showcases, and livestreams. Advertising, promotional materials, websites, social media, digital communications, educational content, and event archives. Production, processing, storage, hosting, editing, delivery, distribution, licensing, and sale of event photographs, videos, and related media products. Authorized Media Parties' professional portfolios, demonstrations, websites, social media, and promotional materials, including recordings featuring participants, staging, lighting, audiovisual systems, or production services. Authorized Media Parties may be engaged before, during, or after events and may change throughout the season. Their media activities must be authorized by SOUL DE SOUL and comply with applicable agreements and laws. Participant Privacy: SOUL DE SOUL maintains a Media & Content Usage Policy establishing standards for authorized media providers concerning participant privacy, professional conduct, access, storage, publication, and distribution, particularly involving minors. Authorized Media Parties must comply with this policy. SOUL DE SOUL may restrict or revoke media permissions when reasonably necessary for participant safety or privacy. Ownership and Compensation: Event media may be owned by SOUL DE SOUL or its Authorized Media Parties, subject to applicable agreements and law. Authorized media may be reproduced, distributed, licensed, or sold without royalties or additional compensation to the Participant. Media purchases may require separate fees. No Participant is guaranteed to appear in event media. This authorization does not transfer ownership of the Participant's identity, personal rights, or independently owned creative works. Media Liability Release: To the fullest extent permitted by law, I release SOUL DE SOUL and its Authorized Media Parties from claims involving privacy, publicity rights, or other liabilities arising from media captured or used within this authorization. This release excludes unauthorized uses, intentional misconduct, and claims that cannot legally be waived. If the Participant is under 18, I certify that I am their parent or legal guardian and grant these permissions on their behalf to the extent permitted by law. 7. COMMUNICABLE ILLNESS ACKNOWLEDGMENT I understand that participation in shared event spaces may involve exposure to communicable illnesses, including influenza, COVID-19, and other infectious diseases. I voluntarily assume the inherent risks of exposure and agree that the Participant will follow applicable public health requirements and SOUL DE SOUL safety instructions. No in-person event can guarantee elimination of illness risks. 8. PARTICIPANT CONDUCT AND SAFETY Participants must follow SOUL DE SOUL event policies, Community Agreements, and safety instructions. SOUL DE SOUL may restrict or discontinue participation due to unsafe conduct, harassment, discrimination, policy violations, or behavior affecting others' safety or well-being. SOUL DE SOUL may reasonably adjust programming, facilities, assignments, or activities for safety or operational needs. 9. INDEMNIFICATION To the extent permitted by law, I agree to indemnify and hold harmless the Released Parties against third-party claims, damages, and reasonable expenses arising from my wrongful acts, material policy violations, or willful misconduct. This obligation does not cover a Released Party's own negligence or wrongful conduct where prohibited by law. Guardian obligations concerning minors apply only where legally enforceable. 10. GOVERNING LAW AND SEVERABILITY This Agreement shall be interpreted under Oklahoma law except where mandatory laws of the event location or other applicable laws require otherwise. If any provision is deemed invalid or unenforceable, the remaining provisions shall remain effective to the extent permitted by law. 11. ACKNOWLEDGMENT AND CONSENT BY SIGNING, I ACKNOWLEDGE THAT: I have read, understand, and voluntarily agree to this Agreement. I understand the inherent risks of dance participation and consent to participation. I understand this Agreement includes an assumption of risk, liability waiver, medical authorization, and media release, and may limit certain legal rights. I understand that authorized faculty, staff, contractors, vendors, production companies, and media providers are included in applicable protections. If signing for a minor, I certify that I am the parent or legal guardian authorized to provide consent. If signing for a minor, I acknowledge the requirement for a designated responsible adult age 21 or older to remain on-site throughout the event. I voluntarily agree to these terms without coercion.
