# CLIENT TERMS & AGREEMENT
## Coaching Services Only
WeHeal, Inc., a Florida corporation, doing business as Connection Docs and any affiliated trade names or DBAs (“WeHeal”), provides the coaching services described in this Agreement.

## IMPORTANT — Coaching Enrollment Only
This agreement enrolls you in **non-medical coaching services** provided through WeHeal.
Signing this agreement and submitting payment **does not create a doctor–patient relationship** and does not authorize medical care.
Some Clients may later elect to add medical services. If medical services are requested and agreed upon, **separate medical documentation, consent forms, and intake through our medical portal are required before medical care may begin.**
Until such medical forms are completed and signed, **all services remain coaching-only.**

# Program Providers & Roles
WeHeal programs may include services delivered by one or more of the following categories of professionals:
- **Employed Providers** — clinicians or professionals employed directly by WeHeal, Inc.
- **Employed Coaches** — coaching professionals employed directly by WeHeal, Inc.
- **Independent Contracted Providers** — licensed clinicians engaged by WeHeal, Inc. as independent contractors
- **Independent Contracted Coaches** — coaching professionals engaged by WeHeal, Inc. as independent contractors
Independent contractors are carefully selected by WeHeal based on professional background, training, values alignment, and demonstrated competency in the methodologies utilized within WeHeal programs. Although they operate as independent contractors and are not employees of WeHeal, they may be integrated into the WeHeal model through shared program standards and coordinated case consultation when applicable.
Depending on program design, Client needs, and availability, services may be delivered by any one category above or any combination.
All services provided under this Agreement are non-medical coaching services unless and until separate medical enrollment documentation is completed.
Coaching services, regardless of whether delivered by a physician, licensed clinician, or coach, do not create a doctor–patient relationship under this Agreement.
Medical services, if later elected, may only be provided by a licensed clinician authorized in the state where you are physically located at the time of the visit and only after completion of required documentation.

# Nature of Coaching Services
WeHeal coaching involves structured conversations conducted via scheduled video or phone appointments.
Typical live coaching sessions are approximately fifty (50) minutes in length unless otherwise agreed.
Coaching may include:
- Support in building healthier relational and communication patterns
- Education regarding nervous system regulation and behavioral change
- Parenting and family dynamics support
- Nonviolent Communication (NVC) education and skills
- Lifestyle and habit education
- Goal-setting, accountability, and implementation planning
- Clarifying values and identifying aligned action steps
Coaching services are educational and skill-building in nature.
Coaching is not psychotherapy, counseling, medical care, or mental health treatment.
Under this enrollment, no Provider or Coach diagnoses, treats, prescribes, or provides licensed medical or mental health services.
Coaching services are not appropriate for emergency or crisis situations. If you are experiencing a medical or psychiatric emergency, call 911 or seek immediate in-person care.
If at any time licensed medical or mental health care appears appropriate, you may be encouraged to seek care from an appropriate provider.

# Structured Program Format
If enrolled in a structured program (e.g., Monthly Intensive or 3-Month Intensive container), the program may include:
- A comprehensive intake session conducted during the first week of the program (this intake counts as one of the scheduled sessions within the container)
- Approximately three (3) to four (4) live coaching sessions per week during the active program term
- Coordinated sessions delivered by qualified professionals engaged by WeHeal
- Personalized action steps and assignments
- Between-session email and/or text support (reasonable use)
- Selected worksheets and resources
Programs are structured, time-based coaching containers designed to provide concentrated implementation and accountability over a defined period.
They do not include unlimited access, crisis support, or on-demand care.

# Program Structure & Session Allocation
Structured programs provide coordinated support delivered within a defined time-based container.
During active enrollment, Clients may receive approximately three (3) to four (4) live coaching sessions per week. Sessions are typically approximately fifty (50) minutes in length.
Based on enrollment type:
- A **3-Month Intensive Program** is structured as a 12-week container.
- A **Monthly Intensive Program** is structured as a 4-week container.
The total number of sessions will vary based on calendar timing, scheduling availability, and whether three (3) or four (4) sessions occur in a given week.
Programs are structured coaching containers. The frequency described above reflects the intended intensity of support but does not constitute a guarantee of a specific total number of sessions. Delivery may reasonably vary based on scheduling realities, holidays, illness, operational constraints, or program design considerations.
Session timing, frequency, sequencing, and professional allocation may be reasonably adjusted based on Client goals, provider availability, illness, scheduling constraints, or operational considerations.
Programs are not designed to provide unlimited sessions or on-demand access.

# Team Coordination & Internal Consultation
WeHeal programs are designed to provide coordinated and integrated support.
You acknowledge and agree that your case, goals, and relevant information may be discussed among professionals engaged by WeHeal for consultation, alignment, and coordinated support purposes.
Such discussions are limited to team members directly involved in delivering services.
If you prefer certain information not be shared within the team, you must notify WeHeal in writing.
Enrollment constitutes consent to internal team consultation for program-related purposes.

# Between-Session Support
Between-session support is intended for brief guidance, clarification, and accountability related to your coaching goals.
- Communication may occur via email and/or text
- Responses are typically provided within 1–2 business days
- Messaging is not intended for urgent situations or crisis support
- More complex matters may be addressed during scheduled sessions
Between-session communication is provided on a reasonable-use basis and supplements (not replaces) scheduled sessions.

# Medical Care (If Later Elected)
If you request medical services:
- Separate medical intake, consent to treat, telehealth consent, and HIPAA documentation will be required
- Medical services may only be provided when the clinician is licensed and/or authorized in the state where you are physically located at the time of the visit
- No medical services may begin until required documentation is completed and accepted
Until that time, all services remain coaching-only.

# Boundaries of Service
- Coaching services are not a substitute for medical care or psychotherapy
- Coaching services do not constitute the practice of medicine, mental health therapy, nutrition therapy, or any licensed healthcare field
- Independent contractors exercise independent professional judgment
- Results are not guaranteed

# Financial Terms
Programs are structured coaching containers and are not billed hourly.
Clients may enroll in:
- A 3-Month Intensive Program (paid in full in advance unless otherwise agreed in writing), or
- A Monthly Intensive Program (billed in advance for each 4-week container)
Specific pricing is determined at enrollment and reflected in the invoice, enrollment form, or payment agreement executed by the Client.
WeHeal may, in its sole discretion, offer alternative pricing structures, legacy arrangements, or customized enrollment options. Such arrangements are individualized and do not create precedent or entitlement for other Clients.
Payment in full (or the first installment under an agreed plan) must be received prior to scheduling services.
All payments are final and non-refundable. By enrolling, Client acknowledges that program pricing reflects reserved capacity and coordinated team allocation during the program term.
Because programs require reserved capacity and coordinated scheduling, refunds are not provided for unused sessions or early termination.

# Program Completion Windows
Unless otherwise approved in writing:
- Monthly Intensive Programs must be completed within four (4) weeks of the initial session for that enrollment period
- 3-Month Intensive Programs must be completed within twelve (12) weeks of the initial session
Unused sessions are forfeited after the completion window. Extensions are not guaranteed and may be granted solely at the discretion of WeHeal.

# Cancellation Policy
- Sessions must be cancelled or rescheduled at least two (2) business days in advance
- Late cancellations or missed appointments count as used
- Missed sessions are not refundable

# Privacy & Communication
- Coaching services are not medical services and are generally not subject to HIPAA
- If medical services are later elected, additional privacy documentation will apply
- Email and text communications may not be encrypted
- By signing this agreement, you consent to communication via email and/or text

# Recording & AI-Assisted Documentation (Coaching Services)
Coaching sessions may be audio and/or video recorded for documentation, continuity, supervision, quality assurance, and program support purposes.
WeHeal and its engaged professionals may use AI-assisted tools, including automated transcription and summary generation, to support documentation.
These tools assist in accuracy and coordination but do not replace independent professional judgment.
Recordings, transcripts, and AI-generated summaries will not be used for marketing, public distribution, research, training, or any non-service-related purpose without separate written authorization.
If you prefer that a particular session not be recorded or processed using AI tools, you must notify the professional in writing at least 24 hours prior to that session.
Absent written notice, participation constitutes consent to recording and AI-assisted documentation for program-related purposes.

# Payment Disputes
Clients agree not to initiate chargebacks for charges that comply with this Agreement.
Clients agree to address billing concerns directly with WeHeal prior to contacting their financial institution.
Filing a chargeback without contacting WeHeal constitutes a breach of this Agreement.

# Force Majeure
WeHeal shall not be liable for delay or interruption resulting from causes beyond its reasonable control, including natural disasters, outages, regulatory changes, or illness of a Provider or Coach.
Services may be reasonably modified or rescheduled under such circumstances.

# Severability
If any provision of this Agreement is found invalid or unenforceable, remaining provisions remain in full force.

# Dispute Resolution
- Mediation in Mercer County, New Jersey
- Binding arbitration in Mercer County, New Jersey if mediation is unsuccessful
- Payment disputes may be brought in New Jersey state court
- New Jersey law governs this Agreement

# Acknowledgment
By signing this Agreement, you acknowledge that:
- This enrollment covers coaching services only
- Medical services require separate documentation
- Coaching does not create a doctor–patient relationship
- You understand the financial terms, cancellation policy, and completion windows
- You authorize WeHeal to charge your payment method for agreed fees
